1. Payment Terms: UMA Marine Services offers four payment options to clients:
    a. 100% Advance: The client pays the full estimated cost of the repair work before the work commences.
    b. 50% Advance, 50% on Completion: The client pays a deposit of 50% of the total estimated cost before the repair work commences and pays the remaining balance upon completion.
    c. Upon Completion: The client pays the full cost of the repair work upon completion.
    d. 30 Days Credit After Invoicing: The client may apply for a 30-day credit account,
    subject to approval by UMA Marine Services. In this case, the client must pay the full cost of the repair work within 30 days of the invoice date. Failure to make timely payments will result in a late payment fee at the lesser of 1.5% per month (calculated daily) or the maximum permitted by applicable law. All bank charges
    (including intermediary bank fees) are for the client’s account. Prices are exclusive of VAT unless stated otherwise.
  2. Collection Policy: In case of non-payment or breach of agreed payment terms, UMA Marine Services reserves the right to suspend or stop work and/or withhold delivery/release of the vessel, equipment, spares, reports, and/or any work results until payment is received in full. Any costs arising from suspension (including standby, demobilization/remobilization, berthing, storage, and administrative costs) will be charged to the client. In the event that legal action or collection proceedings are necessary to recover outstanding payments, the client will be responsible for all associated legal fees and recovery costs, to the extent permitted by law.
  3. Warranty and Liability: UMA Marine Services guarantees all repair work for a period of six months from the date of completion and/or commissioning (whichever occurs first), subject to normal wear and tear. This guarantee does not cover damage caused by negligence, misuse, improper operation, insufficient maintenance, contamination, corrosion, third-party interference, or the use of customer-supplied parts/materials. The client must notify UMA promptly upon discovering any defect and provide reasonable access for inspection and rectification. UMA’s obligation under this warranty is limited, at UMA’s option, to rework/repair of the defective work. Unless otherwise agreed in writing, the customer shall be deemed to have accepted and approved the work once the works and/or equipment serviced or repaired by UMA has been taken into use and/or accepted by the classification society representative (if applicable).
  4. Consequential Damages: In no event shall UMA Marine Services be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the repair work, even if UMA Marine Services has been advised of the possibility of such damages. UMA, its employees, agents, officers, and affiliates shall in no event be responsible for any indirect consequential or other damages or losses (whether or not foreseeable) arising out of or in connection with any work carried out by UMA, including but not limited to demurrage, delay, loss of use of the vessel, loss of production, or loss of profits.
  5. Limitation of Liability: To the maximum extent permitted by law, UMA Marine Services’ total aggregate liability for any and all claims arising out of or in connection with the quotation and/or work performed shall be limited to the net amount actually paid to UMA for the specific work giving rise to the claim. No claim may be brought unless written notice is provided to UMA within a reasonable time after the event giving rise to the claim.
  6. Intellectual Property: Any unique designs, methods, inventions, technical documentation, templates, procedures, or other intellectual property created by UMA  during the repair process shall remain the property of UMA Marine Services. The client is granted a limited right to use any deliverables provided by UMA for the internal operational purposes of the client only.
  7. Client Responsibilities: The client shall provide safe access and working conditions, required permits (including hot work/confined space), isolation/lock-out as required, and class/flag/owner attendance where applicable. Delays, standby time, or additional costs arising from lack of access, permits, unsafe conditions, vessel not being ready, or customer-caused interruptions shall be chargeable and may extend completion timelines.
  8. Variation Orders / Additional Work: Any additional work, repairs, or scope changes (including hidden damage, corrosion, or class requirements) not included in the quotation will be treated as a variation and will be quoted separately (or charged on time and material basis where agreed). Such work will proceed only upon the client’s approval (including approval by email/WhatsApp), except where necessary for safety or damage prevention
  9. Schedule and Delays: Any estimated schedule or completion time is an estimate only and depends on vessel readiness, access, permits, material availability, and third-party attendance. UMA Marine Services shall not be liable for delays caused by factors outside UMA’s reasonable control. Standby and waiting time shall be charged where applicable.
  10. Materials, Spares, and Title: Unless stated otherwise, spares and materials supplied by UMA are new/fit-for-purpose equivalents as available. Risk passes to the client upon delivery to the vessel/site. Title to spares/materials supplied by UMA remains with UMA until full payment is received, to the extent permitted by law.
  11. Force Majeure: UMA Marine Services shall not be held liable for any delay or failure to perform its obligations under this agreement due to events beyond its control, including but not limited to acts of God, natural disasters, weather conditions, port/authority restrictions, government regulations, labor disputes, supply chain disruptions, or unavailability of class/third parties. Any additional costs incurred due to force majeure events may be charged to the client where applicable.
  12. Cancellation: If the client cancels the order after confirmation, mobilization, or procurement, the client shall pay all costs incurred and committed, including mobilization/demobilization, man-hours booked, supplier cancellation/restocking charges, and any non-refundable expenses.
  13. Technical Assistance: UMA Marine Services will charge a minimum of 10 hours for any technician/engineer supplied, calculated from the time they depart from the base (or as stated in the quotation). Any additional hours worked beyond the minimum 10 hours will be charged on an hourly basis. It is the responsibility of the client to ensure efficient and effective utilization of the technician/engineer during the contracted period to avoid incurring additional charges. Additionally, waiting or stand-by charges and travel time will be included in the final invoice based on the applicable rates.
  14. Confidentiality: Commercial terms, pricing, and technical information shared by UMA Marine Services are confidential and shall not be disclosed to third parties except as required for class/flag/authority purposes or with UMA’s written consent.
  15. Dispute Resolution: Any disputes arising under this agreement shall be resolved through arbitration in the United Arab Emirates. The arbitration shall be conducted in English, by a single arbitrator, and the arbitrator’s decision shall be final and binding on the parties.
  16. Governing Law: This agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates.
  17. Validation: By accepting this quotation (including acceptance by email/WhatsApp or by instructing UMA to mobilize/commence work), the client acknowledges that they have read and understood UMA Marine Services’ terms and conditions and agrees to be bound by them. If the client has any questions or concerns about the terms and conditions, they are encouraged to contact UMA Marine Services for clarification before accepting the quotation. Quote subject to availability of manpower and materials at the time of order confirmation. Quotation validity is as stated in the quotation; if not stated, 14 days from the quotation date.
  18. Entire Agreement and Variations: These terms and conditions, together with the quotation and any written UMA scope/offer, constitute the entire agreement between UMA Marine Services and the client for the repair work and supersede prior discussions or correspondence. Any amendments, variations, or additional terms shall be valid only if confirmed in writing by UMA Marine Services.
